Ryan Penhallegon’s practice focuses on business and commercial litigation and commercial transactions.
Mr. Penhallegon is a skilled advocate and trusted advisor to clients that include companies from a variety of industries, business owners, entrepreneurs, investors, lenders and real estate industry participants. Known as a straight shooter respected by colleagues and adversaries alike, whether litigating in court or advising on a corporate matter, Mr. Penhallegon is a pragmatic problem solver who leverages his unique blend of legal knowledge and experience to successfully advocate and achieve desired results for clients in and out of court.
Mr. Penhallegon’s “in-court” (litigation) practice includes representing clients in a wide-range of business, real estate and commercial disputes including theft (misappropriation) of trade secrets, complex commercial law issues, investor and shareholder disputes, and disputes involving or arising from financial insolvency and complex financial transactions, including fraudulent transfers. Mr. Penhallegon has tried or arbitrated numerous cases, participated in countless mediations, and has considerable experience dealing with matters involving financial insolvency and its attendant issues.
Mr. Penhallegon’s “out of court” (transactional) practice includes business acquisitions and dispositions, business formations and asset protection, commercial leasing, and real estate purchase and sales. Mr. Penhallegon frequently serves as outside general counsel to companies of all sizes whom he advises on business, real estate and commercial law related matters. Mr. Penhallegon’s experience includes negotiating and drafting a wide range of contracts and business agreements, including purchase and sale agreements, shareholder agreements, vendor contracts, commercial leases, loan and financing agreements, and employment related agreements.
Prior to joining SLG, Mr. Penhallegon worked at a boutique business bankruptcy firm where he focused on complex financial restructuring, representing debtors and creditors in and out of bankruptcy court and on related corporate and real estate law matters. Mr. Penhallegon started his career at a law firm specializing in real estate and construction law where he focused on representing owners and developers in a wide range of real estate, construction, and business matters. Mr. Penhallegon is a member of both the California and Washington State bars. Mr. Penhallegon is also a member of the Board of Advisors for the Central YMCA of Silicon Valley and a member of the Congressman Don Edwards Inns of Court and the William A. Ingram Inns of Court.
